Terms of Service

These terms govern use of the Trade2Tech software provided by Trade2Tech Private Limited (“Trade2Tech”, “we”). By signing in, you agree to them on behalf of the firm whose account you are using.
What the service is
Software for recording commodity contracts and carrying them through delivery, invoicing and settlement. It produces documents — contract slips, tax invoices, payment calculations — from figures you enter.
Accounts and access
Access is by invitation. Your firm’s administrator adds users and decides what each may see or change. You are responsible for the Google account you sign in with and for what is done under it. Tell us promptly if you believe an account has been misused.
Your data is yours
Your firm owns the records it puts into the product. We claim no ownership over your contracts, counterparties or documents. You may export them at any time, and we will help if the export you need is not built yet.
The documents the product produces
Contract slips, invoices and payment calculations are produced from the figures you enter and the masters you configure — duty notifications, tax rates, brokerage terms. Those inputs are your responsibility, and so is checking the output before you send it to a counterparty or file it.
We are not your accountant, tax adviser or lawyer. Nothing the product calculates is tax, legal or financial advice. GST, TDS and customs duty treatment depends on facts and on law that changes; have your own adviser confirm it.
Availability
We aim to keep the service running continuously but do not guarantee uninterrupted availability. Maintenance, provider outages and events outside our control can interrupt it. We will give notice of planned work where we reasonably can.
Fees
Where a subscription applies, the fee, the period and the notice required are set out in the separate order or engagement letter agreed with your firm. Those commercial terms prevail over anything general said here.
Acceptable use
Do not attempt to access another firm’s data, probe or disrupt the service, or use it to break the law. We may suspend access to protect the service or other customers, and will tell you why.
Liability
To the extent the law allows, our total liability arising out of the service is limited to the fees paid by your firm in the twelve months before the claim. We are not liable for indirect or consequential loss, including lost profit or lost trading opportunity.
Nothing in these terms limits liability that cannot be limited by law, including for fraud.
Ending it
Your firm may stop using the service at any time. We may end an account for material breach of these terms, or on reasonable notice. On termination we will provide an export of your data on request before deleting it.
Governing law
These terms are governed by the laws of India, and the courts at the place of our registered office have exclusive jurisdiction.
